Legal Subject Matter Expert (SME)

We are looking for an experienced Legal SME to provide legal expertise, guidance, and support across business operations, contracts, compliance, risk management, and legal processes. The candidate will work closely with business, finance, HR, procurement, and leadership teams to identify and mitigate legal risks.

Key Responsibilities

Provide expert guidance on legal matters, contracts, agreements, and regulatory requirements.

Review, draft, negotiate, and manage various commercial and business contracts.

Review MSAs, SOWs, NDAs, vendor agreements, service agreements, and employment-related agreements.

Identify potential legal risks and recommend appropriate mitigation strategies.

Ensure business processes comply with applicable laws, regulations, and internal policies.

Partner with internal stakeholders to resolve legal and contractual issues.

Support contract lifecycle management, including drafting, review, approval, execution, and renewal.

Conduct legal research and provide recommendations based on applicable laws and regulations.

Assist with dispute management, claims, litigation support, and legal documentation where required.

Work with compliance teams on regulatory and corporate governance requirements.

Develop and maintain legal templates, policies, guidelines, and standard clauses.

Support audits and regulatory reviews by providing required legal documentation.

Maintain confidentiality of sensitive legal and business information.

Provide training and guidance to business teams on contractual and legal requirements.

Mandatory Skills

Strong experience as a Legal SME / Legal Consultant / Corporate Legal Counsel.

Excellent knowledge of contract drafting, contract review, and negotiation.

Strong understanding of commercial and corporate laws.

Experience managing legal and contractual risks.

Strong legal research and analytical skills.

Excellent written and verbal communication skills.

Ability to interpret complex legal terms and explain them to non-legal stakeholders.

Strong stakeholder management and negotiation skills.

Good to Have

Experience in IT/Technology contracts.

Knowledge of Data Privacy, GDPR, DPDP Act, Information Security, and IP laws.

Experience with vendor management and procurement contracts.

Familiarity with Contract Lifecycle Management (CLM) tools.

Experience with legal operations and compliance frameworks.

Knowledge of SaaS, licensing, cloud, and technology agreements.

Experience working with global clients and international contracts.
